etdips RESEARCH ONLY SOFTWARE TRANSFER AGREEMENT
PLEASE READ THIS DOCUMENT CAREFULLY. NIH/NUS GRANTS YOU THE RIGHT TO
USE THIS SOFTWARE, BUT ONLY IF YOU AGREE WITH THE TERMS AND CONDITIONS
OF THIS END USER LICENSE AGREEMENT (the "Agreement"), BELOW.
IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, YOU ARE NOT AUTHORIZED
TO USE THIS SOFTWARE.
NOTE:
THIS LICENSE DOES NOT INCLUDE SUPPORT. HOWEVER, WE DO RESPOND TO FEEDBACK
AND QUERIES WHERE POSSIBLE AND, AT OUR DISCRETION.
Software
Transfer Agreement
Provider:
National Institutes of Health Warren Grant Magnuson Clinical Center
(hereinafter "NIHCC") and the National University of Singapore
(hereinafter "NUS")
Recipient:
A list of every institution that downloads the software will be kept
NIHCC
and NUS agree to transfer the following software to the Recipient
free-of-charge for research purposes, etdips: Exploratory Two/Three
Dimensional Image Processing System (hereinafter "Software").
In receiving
the Software, Recipient agrees to the following terms.
1. Transfer
of Software to Recipient does not constitute endorsement by the NIHCC
or NUS of the Recipient or any of the Recipient's products or services,
and no endorsement should be inferred.
2. Title
in the Software shall remain with the NIHCC and NUS. Accordingly,
the NIHCC and NUS reserve the right to distribute Software to others
and to use it for their own purposes.
3. SOFTWARE
IS NOT INTENDED FOR TREATING OR DIAGNOSING HUMAN SUBJECTS, and Recipient
will not use Software for those purposes.
4. Recipient
will not transfer the Software to anyone, but will refer interested
parties to the NIHCC for a copy. Further, the Recipient will not license
or sell or use the Software for commercial purposes or applications.
Recipient agrees to comply with all United States Federal regulations
applicable to research projects and the handling of research materials.
5. Software
is supplied AS IS, without any accompanying services or improvements
from the NIHCC or NUS. SOFTWARE IS SUPPLIED TO RECIPIENT WITH NO WARRANTIES,
EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS
FOR A PARTICULAR PURPOSE. NIHCC and NUS make no representations that
the use of Software will not infringe any patent or proprietary rights
of third parties.
6. Recipient
agrees to hold the United States Government, NIHCC and NUS harmless
and to indemnify the United States Government, NIHCC and NUS for all
liabilities, demands, damages, expenses and losses arising out of
Recipient's use for any purpose of the Software.
7.
Recipient
will send the NIHCC general reports regarding the application of
the
Software and the effectiveness and problems encountered in using
the
Software, without disclosing Recipient's confidential information.
Information from general reports may be used by the Provider to enhance
the capabilities of the Software.
8. The
illegality or invalidity of any provision of this Agreement shall
not impair, affect or invalidate the other provision of this Agreement.
9. The construction, validity, performance and effect of this Agreement
shall be governed by Federal law, as applied by the Federal Courts
in the District of Columbia.
